These Terms & Conditions (“Terms”) govern the provision of payroll services (“Services”) by SIMON GROUP DEVELOPMENT LIMITED (hereinafter referred to as “SGD Payroll”, “we”, “us”, or “our”). By engaging our Services, you (“Client”, “you”, or “your”) agree to comply with and be bound by these Terms.

Scope of Services

SGD Payroll provides comprehensive payroll processing services, including but not limited to, calculation and processing of payroll, tax deductions, National Insurance contributions, and compliance with UK tax laws. Our Services also encompass the provision of payslips, tax reports, and year-end filings as required by applicable laws.

Client Responsibilities

  1. Provision of Accurate Information: The Client shall provide accurate, complete, and timely information and documentation necessary for SGD Payroll to perform the Services. This includes, but is not limited to, employee details, salary information, tax codes, and any other relevant data.

  2. Compliance with Laws: The Client is responsible for ensuring compliance with all applicable employment laws and regulations. This includes, but is not limited to, the provision of employment contracts, maintenance of employment records, and adherence to statutory requirements.

  3. Payment of Fees: The Client agrees to pay SGD Payroll for the Services in accordance with the fee structure agreed upon in the service agreement. Payment terms will be specified in the service agreement, and late payments may attract interest at a rate specified therein.

Our Responsibilities

  1. Provision of Services: SGD Payroll shall provide the Services with reasonable care, skill, and diligence, in accordance with industry standards and applicable laws. We shall ensure the accuracy and timeliness of payroll processing and related activities.

  2. Data Protection: We are committed to protecting the privacy and security of Client information. All personal data will be processed in accordance with our Privacy Policy and applicable data protection laws, including the General Data Protection Regulation (GDPR).

  3. Compliance: SGD Payroll shall comply with all relevant laws and regulations in the provision of the Services. This includes timely submission of payroll taxes and related filings to HM Revenue and Customs (HMRC).

Limitation of Liability

To the fullest extent permitted by law, SGD Payroll shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the provision of the Services. Our total liability for any claim arising out of or in connection with these Terms shall not exceed the fees paid by the Client for the Services in question.

Termination

  1. Termination by Client: The Client may terminate the service agreement by providing written notice of 30 days. Upon termination, all outstanding fees for Services rendered must be paid immediately.

  2. Termination by SGD Payroll: We reserve the right to terminate the service agreement with immediate effect if the Client breaches any of the Terms, or if continued provision of Services is deemed unfeasible due to regulatory or legal constraints.

Amendments

SGD Payroll reserves the right to amend these Terms at any time. Any changes will be posted on our website, and continued use of our Services constitutes acceptance of the amended Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
